工作說明:


National Instruments is seeking an experienced leader to evolve and manage East Asia Sales Contract Management function in a dynamic and competitive business environment. The Contract Manager will be responsible for the overall Contract Management and Operations functions in East Asia region, and for coordination with NI’s Global Contract Strategy leadership. The Contract Manager will manage negotiation of strategic sales contracts, as well as the implementation, execution and administration of all sales contracts, and management of the Contract Management teams. This key leader will work cross-functionally with other business areas, e.g. sales, finance, legal, operations, and provide guidance and interpretation to business leaders regarding contractual rights and obligations. The Contracts manager must bring a strong business and operations acumen and execute with an appreciative balance between business competitiveness and financial/analytical issues and profit and loss implications.

Key Responsibilities

?Perform Drafting, Evaluation, Negotiation and Execution of contractual documents that establish relationships with customers and/or partners:

?Non Disclosure Agreements, Sales / Purchasing Agreements, Sub-contracts, Consulting Agreements, Licensing Agreements, Master Agreements, review of customer proposed terms and conditions

?Distribution Agreements (resellers, agents, joint marketing etc)

?Serve as the point of contact for customers on contractual matters. Act as contractual “middleman” between legal, sales, finance, operations and customers, ensuring timely review and approval / reconciliation of variations.

?Maintain contractual records and documentation such as receipt and control of all contract correspondence, customer contact information sheets, contractual changes, status reports and other documents for all projects.

?Oversee & manage the Administration & Operations teams that develop and implement procedures and policy for contract management and administration in compliance with company policy and NI Global Contract Strategy. As appropriate, influence company policy and contract strategy.

?Monitor compliance by company employees with established procedures. Identify areas of recurrent pressure and opportunities for compliance automation or improvement

?Provide Risk Management recommendations to business leaders and work with Legal to coordinate contractual insurance requirements.

?Work with Finance and Operations to ensure adherence to broader finance and risk requirements such as revenue recognition, pricing and discounting policies, export controls etc. Includes understanding / evaluating economic impact of terms and term options.

?Support Sales and Product Management to ensure company products and services are offered with appropriate, competitive terms and conditions. Ensure exception terms are business aligned and achievable

?Monitor competitive terms. Monitor customer satisfaction with our terms and conditions and contracting practices. Recommend changes to T&Cs to create velocity and improve customer experience.

?Support and manage the contract Administration and Operations teams that execute, monitor, and support sales and service contracts processes for East Asia

Experience


?Advanced degree and 10+ years business experience.

?Proven history of critical contractual formation


?Experience establishing and implementing requirements for contract management tools and processes.


?Experience managing agreements in high technology products and services, international contracting, strategic partnering, or other highly complex contractual arrangements.


?Certified Commercial Contracts Manager (CCCM), Certified Professional Contracts Manager (CPCM) or IACCM certification preferred.
